The 10-K has to be audited which is expensive.

And could be the reason for the 10-K delay.

On the other hand, it probably doesn't cost the SEC anything to UPLOAD their reply to Viva's S-1.

Something seems to be going on that hasn't been divulged as of yet IMHO...
