Actually, this slipped my mind earlier: based on the fact that anyone who owns a share will receive 1 subscription right per share owned. And given that the company seems pretty set on issuing only 10K units for $10M proceeds (minus fees), I don't expect to see overallotment happening.

It will be more of a prorata shuffling of the units. Anyone who has 10K shares can request all 10K units.

We will see if any of these details change in the revised filing

Hay guys if we believe that this offering is structured to benefit current shareholders and insiders when a BO occurs what is the timeframe? If it's Zimmer how is this completed before their early March Q like some posters have eluded to? I understand the BOD could return assets purchased in conjunction with this offering if they need to but IMO they would not purchase any to avoid SEC squabbles. It would be interesting to see how much insider interest this garners but I do not think there is a way to find this out in the short term unless every retail investor posted their involvement with the offering. How many retail investors are not going to be able or willing to participate? So their share allotment not exercised then fall directly to the insider pool? Anyone have an opinion given what we know now if the PPS is baked here or will rise/drop significantly more when this offer's complete details arrive?

this could be an opportunity for some shareholders, including insiders who have been laying low, to pounce on over-subscription opportunity and increase percentage ownership.
