I believe they have set things up to quickly merge upon announcement. For instance look how quickly we voted on RS in August despite adjournment (I think this was a test). All the behind the scenes work is likely done or near done. They have the POS AM filings in place which usually something done after announcement; this is another reason why i think the S-1 never becomes effective or is terminated shortly thereafter. S-1 with new shares will negate the POS AM filings in a merger scenario and would require further amendment I believe, delaying close of merger.

Ftc takes 15-30 days. They managed RS vote in 24 days from Pre to day of vote. I think merger vote requires min 20 days from Def to vote so they could swing it in 30 days. Assuming they have all paperwork in order they could in theory announce mid March and merge mid April 2 weeks before CC. This of course leaves no margin of error.
