It gets Hayes off the radar of the SEC before the hammer comes down.

My understanding of what was said in the proxy is they traded some amount of inwith equity for the EPGL patents. I personally don't put much value on those patents so expect the amount of inwith equity given to current EPGL stock holders to be quite small.
