A "shell" is basically a company that was public but in essence out of business. So a company that is private such as Northstar that wants to go public will purchase this "shell" and become public. The shares and the company is restructured and now you have a public company w/o going through a traditional IPO process.

Regarding Sak I was told he was not affiliated with the company.
