Swede, I believe once you are over 5% it does not matter you are required to file. Garrett of all people should know this. IR should have an explanation but hey they are clueless.

He is (still?) considered a passive investor, don't think he is required to report every transaction separately.

That doesn't matter once you are over 5% IMO. That's why they put this rule there.
