the could have done it at almost anytime in '16 or '17, the authorization was there. The '16 authorization was rescinded in mid '17. The vote at the '17 shareholders meeting gave them the authority to pursue an rs if conditions were right up-listing / merger etc... (which I voted YES too). I've personally heard the rs myth going on 3 years + now.
