You might be right, the reverse merger may not happen. That doesn't mean there isn't a very strong possibility that it will happen. Regardless, the Net Operating Losses are worth a documented $.03 per share. This is indisputable, read the filings on OTCMarkets.com. Anyone saying otherwise is either uninformed or not being truthful.
