As to the filing, I have a theory, but it is purely guess work.
As you are aware, the bankrauptcy filing that is ongoing, but pulled TNW Networks in, and had its assests put under control of the Monitor, the reason for this was it was immpossible to say where one company ended, and the next started, complicated further by the same customer lists and bank account shared between the different entities.
I think Benniot / Trevor were concerned that TNW Networks assets would not be returned, and rolled into the final sale to Distibutal. So UnitedCorp aquired it for 3 Million shares, bringing Unitedcorp closer to the whole bankrauptcy thing than I would have liked ( I commented on this a while back )
I think the reason they did this was to give TNW Networks the protection of a publicly owned company, it would be much harder for the courts to give away the assets if they are untimetly owned by the public share holders.
No idea if this will work / fail, the fight is still ongoing.
But i bet from an SEC perspective, it made the filing impossible.
