After doing some digging, it looks like (escpecially on the OTC) it falls on the state to decide the law, according to the Cole Memorandum.

TerraTech is registered as a public company in California whereas American Green is based in Wyoming. As far as I can tell, California doesn't have any regulation on publicly traded medical marijuana companies drawing direct profit from the sales of marijuana. Wyoming still has very strict laws on marijuana.

I could be wrong though. I couldn't find a federal regulation on publicly traded marijuana companies, just state regulations.
