The sale of securities to a relatively small number of select investors as a way of raising capital. Investors involved in private placements are usually large banks, mutual funds, insurance companies and pension funds.
Private placement is the opposite of a public issue, in which securities are made available for sale on the open market. These shares are usually bought by accredited investors - To be an accredited investor, you must be one of these:
a bank, insurance company, registered investment company, business development company, or small business investment company;
an employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million;
a charitable organization, corporation, or partnership with assets exceeding $5 million;
a director, executive officer, or general partner of the company selling the securities;
a business in which all the equity owners are accredited investors;
a natural person who has individual net worth, or joint net worth with the person’s spouse, that exceeds $1 million at the time of the purchase, excluding the value of the primary residence of such person;
a natural person with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year; or
a trust with assets in excess of $5 million, not formed to acquire the securities offered, whose purchases a sophisticated person makes.
***A-1 http://investorshub.advfn.com/boards/read_msg.aspx?message_id=104961468 $25K Day Trader Rule - Explained I was asked about this the other day and thought there may be some in here with the same question... If you do more than 3 round trips (Buy & Sell the same stock within the same day) within a 5 day period, you will be marked as "A Pattern Day Trader"
#2/ You will retain this status for 90 days, unless you bring your account balance to or above $25K. This does NOT mean that your trading account will be Frozen for 90 days This does NOT mean that you are in trouble with the SEC or FINRA
#3/ It DOES mean that you will not have the privalages of a Margin Account for 90 days Which in turn means that you will not be able to use funds from a closed trade, until such funds clear.
#4 A margin account requires a $2K minimum balance and allows you to trade with funds that have not yet cleared.
#4-A/ It takes 3 days for trade funds to clear. While you are in "Pattern Day Trader" status your trading account will be a "Cash Account"
#5/ To achieve the $25K balance which will allow you margin and more than 3 round trips in a 5 day period you can deposit money in a separate account than the one you trade with.
#6/ You can even transfer your IRA account to your broker account to make up the difference and give yourself a higher margin allowance. Feel free to ask me any questions about this or anything else pertaining to trading. I hope this helps
**B.#DTC Registration Explanation of DTC Chill by Mikey and a list of DTC Chilled & lifted DTC chills on StockGoodies
So far, they have stayed the same day in and day out. I truly that what I’m about to reveal to you will help take your intra-day trading skills to higher heights of mastery. Let me now carefully define each one of the reversal time frames, and review their idiosyncrasies and tendencies. For each reversal time is unique and possesses its own individual character.
The Eight Reversal Times Defined and Explained
As mentioned above there are eight specific times around which stocks and the market in general tend to consistently turn or reverse. These Key Reversal Times are as follows: a) 9:50 – 10:10; b) 10:25 – 10:35; c) 11:15 – 11:30; d) 12:00 – 12:15; e) 1:15 – 1:30; f) 2:15 – 2:30; g) 3:00; h) 3:30. All times are stated using Eastern Standard Time. Let’s now delve a little deeper into each one.
****D.#WHAT DOES 15-12G MEAN? http://investorshub.advfn.com/boards/read_msg.aspx?message_id=103439034 When a firm “goes dark” it deregisters with the Securities and Exchange Commission (SEC) and delists its shares. Deregistered firms are no longer required to make SEC filings such as annual reports, proxies, 10-Ks, 10-Qs and other important documents. And they’re no longer required to have annual meetings or elect outside directors.
To deregister, a firm files Form 15-12G (Securities Registration Termination) with the SEC stating its intent to deregister, usually by a certain date. Once that date arrives, the stock exchange or NASDAQ prohibits future trading in the shares.
The firm’s shares are then relegated to the pink sheets, where liquidity is usually much lower. Although the actual process takes some time, the firm’s share price typically will decline immediately after the “going dark” announcement, since many institutions are prohibited from owning shares of firms that don’t file with the SEC or trade on the exchanges or NASDAQ.
Shareholder Action Plan
The lessons here are several:
If a company you own announces plans to deregister, don’t panic. If the fundamentals are intact, the shares are probably worth owning. Even in the less liquid pink sheets, shares of firms with improving fundamentals will appreciate.
However, you should call the firm immediately to assess their plans for ongoing communication with outside shareholders. Ask the same questions we did of Southern Energy Homes—which gave the right answers.
If you receive answers that indicate communication will be lessened, there may be some governance issues relating to the treatment of outside shareholders. For example, we would find it difficult to own shares of a company that provided only an annual report and had no annual meetings or election of directors.
Make sure the fundamentals are intact. Use the deregistration announcement as an opportunity to perform a thorough review of company prospects. Often a firm will deregister to help hide a deteriorating financial condition, bad accounting or other ailments
Fortune favors the bold. To be a successful investor you must have the courage of your convictions. That means if you’ve done your homework, don’t be afraid to step up to the plate, especially in the face of consensus opinion that’s going the other way. "
And in actuallity, filing of Form 15's in the OTC World usually will lead to a RUN of the stock....especially on a dormant stock..... because it means they want to stay alive and not be killed by the all powerful and knowing sec (Screwing Everyone Consistently)
*****E.TWEEZER CHART CALLS; WITH ELLIOTT WAVE two candles red and green same size in btm call.
Yep, things change. I did not write those theory, though. I learned them.
The first five ones are the most important as:
Then, you have the complete 8 wave cycle
Know which of the "Waves" your stock is in, before you consider Buying it, is the idea behind those diagrams
Things like: A/S increase or massive dilution beginning here would crash the pps completely.
Nothing like that here, but we are are still in stinky pinky land,so anything can happen...
Notice also that the first (iii) and b in the diagram is between .0024 to .0028 or so for ???? We reached those many times since March 25th ( (iii) )...

5.Abandoned Baby (Bullish) • Direction: Bullish • Type: Reversal • Reliability: Strong • Day-one is a red day continuing an established bear trend. • Day-two is a doji whose shadows trades below day-ones close. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663371
10.Marubozu Candlesticks Marubozu are even stronger bull or bear signals than long lines as they show that buyers/sellers have remained in control from the open to the close -- there are no intra-day retracements. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663489
21.Engulfing Candlesticks Engulfing patterns are where the body of the second candlestick 'engulfs' the first. They often follow or complete doji, hammer or gravestone patterns and signal reversal in the short-term trend. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663699
22.Harami Candlestick A Harami formation indicates loss of momentum and often warns of reversal after a strong trend. Harami means 'pregnant' which is quite descriptive. The second candlestick must be contained within the body of the first, though the shadows may protrude slightly. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663705
27.Momentum: Momentum is usually measured with an oscillator such as MACD. If MACD is above its 9-day EMA (exponential moving average) or positive, then momentum will be considered bullish, or at least improving. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663762
28.Doji Star A Doji Star is weaker than the Morning or Evening Star: the doji represents indecision. The doji star requires confirmation from the next candlestick closing in the bottom half of the body of the first candlestick http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663763
29.Rising Three Methods The Rising Method consists of two strong white lines bracketing 3 or 4 small declining black candlesticks. The final white line forms a new closing high. The pattern is definitely bullish. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663768
31.Tweezer Tops The Tweezer Top formation is a bearish reversal pattern seen at the top of uptrends. Tweezer Top formation consists of two candlesticks: Bullish Candle (Day 1) Bearish Candle (Day 2) Sometimes Tweezer Tops have three candlesticks. A bearish Tweezer Top occurs during an uptrend when bulls take prices higher, often closing the day off near the highs (a bullish sign). However, on the second day, how traders feel (i.e. their sentiment) reverses completely. The market opens and goes straight down, often eliminating the entire gains of Day One. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663782
32.Tweezer Bottoms The Tweezer Bottom formation is a bullish reversal pattern seen at the bottom of downtrends. Tweezer Bottom formation consists of two candlesticks: Bearish Candle (Day 1) Bullish Candle (Day 2) Sometimes Tweezer Bottoms have three candlesticks. A bullish Tweezer Bottom occurs during a downtrend when bears continue to take prices lower, usually closing the day near the lows (a bearish sign). Nevertheless, Day 2 is completely opposite because prices open and go nowhere but upwards. This bullish advance on Day 2 sometimes eliminates all losses from the previous day. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663787
36.Three Black Crows (Bullish) The Bearish Three Black Crows Pattern is indicative of a strong reversal during an uptrend. It consists of three long black candlesticks, which look like a stair stepping downward. The opening price of each day is higher than the previous day's closing price suggesting a move to a new short term low. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663796
41.UPSIDE GAP TWO CROWS The Bearish Upside Gap Two Crows Pattern is a three-candlestick pattern and it signals a top reversal. The first candlestick is a long white candlestick followed by a real body that gaps higher. Then another black real body appears, which opens above the second day’s open and closes under the second day’s close, completing the pattern http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663827
42.THREE OUTSIDE UP The Bearish Upside Gap Two Crows Pattern is a three-candlestick pattern and it signals a top reversal. The first candlestick is a long white candlestick followed by a real body that gaps higher. Then another black real body appears, which opens above the second day’s open and closes under the second day’s http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663830
43.FOUR PRICE DOJI The Four Price Doji is a single candlestick pattern.
49.MORNING STAR This is a three-candlestick formation that signals a major bottom. It is composed of a first long black body, a second small real body, white or black, gapping lower to form a star. These two candlesticks define a basic star pattern. The third is a white candlestick that closes well into the first session’s black real http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663864
50.MORNING DOJI STAR This is also a three-candlestick formation signaling a major bottom reversal. It is composed of a long black candlestick followed by a doji, which characteristically gaps down to form a doji star. Then we have a third white candlestick whose closing is well into the first session’s black real body. http://investorshub.advfn.com/boards/read_msg.aspx?message_id=81663873
52.The Alphabet Soup Of Stocks / cyclical, growth and income stocks / try to replace the confusion with some clarity and logic / Stocks and the Business Cycle / Seasonal to Growth / Penny Stock - The term penny stock is used to denote stocks that trade for less than a dollar, but can also refer to stocks that are considered very speculative http://investorshub.advfn.com/boards/read_msg.aspx?message_id=88087948

Form T trades in pennies are brokers covering sells they made earlier in the day. The T trades themselves do not have any effect on the stock, as they are trades that already happened during the trading day, they are more like internal accounting, than anything else.
"Investopedia explains 'Form T' Trading in extended hours enables investors to react quickly to events that typically occur outside regular market hours, such as earnings reports.
However, liquidity may be constrained during such Form T trading, resulting in wide bid-ask spreads.
Form T trading is especially suited for overseas investors, since they may conduct the bulk of their U.S. trading when their markets are open but U.S. markets are closed.
The growing popularity of electronic communication networks means that Form T trading is bound to continue increasing"
59. A pinch is when the PPO or MACD lines almost touch the ADX signal line and then separate - It's usually a precursor to a really big move up Here's an example: PINCHER
60. BULLISH GRAVESTONE DOJI http://investorshub.advfn.com/boards/read_msg.aspx?message_id=93802110 Gravestone Doji is a specific Doji with opening and closing prices equal to the low of the day. The Bullish Gravestone Doji Pattern is a bottom reversal pattern. Similar to its cousin the Bullish Inverted Hammer Pattern, it occurs in a downtrend and represents a possible reversal of trend.
61.BULLISH UNIQUE THREE RIVER BOTTOM http://investorshub.advfn.com/boards/read_msg.aspx?message_id=93802120 The Bullish Unique Three River Bottom Pattern is an extremely rare bottom reversal pattern. Its first candlestick is an extended black candlestick then followed by a second black real body closing higher than the first candlestick’s close, and the third candlestick is a white candlestick with a very small real body. The real white body shows that the market lost the selling pressure.
62.BEARISH ADVANCE BLOCK http://investorshub.advfn.com/boards/read_msg.aspx?message_id=93802046 It is a pattern characterized by three long white candlesticks with consecutively higher closes during an uptrend. The Bearish Advance Block Pattern is similar to the Bullish Three White Soldiers Pattern. The difference is the fact that each successive day is weaker than the one preceding it. This may suggest that the rally is losing strength and a reversal is possible.
63.A Typical Type of Dilution typical scenario , lets say stock ABCD sells finance guy A 1 billion shares from the a/s for .0001 and gets $100K in cash in return for those shares at that price ,and lets say those shares are restricted for 6 months.
63.B Typical Type of Dilution So ABCD now has $100K in cash and no worries for 6 months in which they can either continue to promote their company and move stock higher or just let the peeps on the ticker board help create momo and just help it move it wherever it may go . Then at the 6 month time they hire said group to promote news and Finance guy A get to sell his shares and anything above .0001 is pure profit
