No doubt Network 1 gets a cut but how much?

I am guessing Network 1 gets 15% off the bat and gets a chance to purchase shares at a discount in the future. That is based on a prior TVOG OTC filing and a Network 1 deal they had with a prior shipping company.

It indicated cash and assets of up to $25,000,000 was how I interpreted it. Does anyone know if this is enough to apply to NASDAQ?
