The only reasoning behind the separation, in my opinion, would perhaps be some type of partnership deal with one entity or the other and wanting to keep them both separate. Maybe to sell one of the two entities in the future it might be easier? I’ve been over it in my head 1 million times and can’t seem to figure it out either. Why would one company create a subsidiary unless some time in the foreseeable future they plan to separate from the subsidiary by means of a sale or a partnership? I know I’m reaching here but I can’t come up with anything else.
