Havent seen it they can release a PR but have no requirement to file an 8k reporting company have to do 8ks on material events

They CAN definitely release an 8-K.

No, they cannot. If they want to file 8-Ks with the SEC, they must be an SEC registrant. And that would mean filing an initial registration statement. A Form 10 or a Form S-1.

Whichever they chose would be reviewed by the SEC.
