Every oil company that works in a foreign country almost always forms a local subsidiary. It's not to protect the mother company. It's because local laws almost always require it and even if they dont, it's far easier to conduct business with an in-country subsidiary.

No way a parent company can avoid paying their debt by forming a foreign subsidiary. The parent country is always jointly and severally liable for all debts incurred.
