There is nothing legally binding to the document. It states that exactly, clear as day. Neither party would have any recourse for anything.

For those misunderstanding LOI's non-binding, Quote:

"...nothing herein shall be considered binding, and this Letter shall only be considered an expression of intent setting forth the terms to be included in definitive agreement(s) to be negotiated and executed by the parties. ..."

Pretty clearly written.

So, it's basically saying: "We have this idea of a joint venture, and this is the outline....etc..."
