A lot of companies do that. Had one before that had 2 billion shares in escrow. Those shares are not considered active till drawn out. No one owns them. They are put in there to cover something that they think may be coming. Sometimes SEC requires a company to have shares ready for something that is coming. Many reasons for it. They can be listed in the AS and OS. OS contains many things.
