Regarding merger by and among POW! Entertainment, Inc., ” First Creative International Limited (‘‘Parent’’) and Camsing Entertainment International, Inc., a wholly-owned subsidiary of Parent (‘‘Merger Sub’’)”*.

The undersigned, a shareholder of POW! Entertainment, Inc., herewith dissents and disapproves of the Agreement and Plan of Merger, which constitute a sale of the company on the following terms: $11,500,000 minus POW! Entertainment Inc.’s net liabilities.
