Yes, if they buy they will have to file form s4 but I don't think they can buy if there is a pending negotiation or BO, it will be insider trading but they can get a nice exit PAC

No, they can't trade on inside info, they must make sure they themselves and any affiliate does not buy company stock during any negotiation.
