The choice between cash or converting to shares was defined in the Share Purchase Agreement and the Notes back in November. Since it was a private placement, the Note holders required the Registration Rights Agreement to have the company submit the Registration Statement to register the shares and warrants so that the Note holders could sell their shares on the open market, if they converted the Notes to shares or exercised their warrants. The registration statement was effective in May.
