You made no sense whatsoever. OTC companies do this all the time its a guarenteed strike price . It insurance that they get paid. Trust me no one makes a deal based on stock "performance". They make a deal on guarenteed price.
When shares convert they will convert at .52. The lower the stock price at time of convert the more it takes to reach strike price.
