Fresh start and business opp for AMHD. Not merging with UNGS; AMHD gonna have a new business merged-in, entirely separate from UNGS.

UNGS is a holding company and AMHD will be a new business subsidiary.

Much better for AMHD shareholders, not really for UNGS shareholders.
