I would love to see a copy of that 'Corporate Code of Conduct'especially the sections applicable to the CEO - does it recommend lying to and misleading the shareholders? IF NOT how come Conrad is still continuing as CEO?

They never identified what Stan did or did not do, let alone which portion or clause of the Corporate Code he violated, let alone what fiduciary duties he had a Director.

It would seem that the bulk of fiduciary duties fall upon the CEO or CFO and not the Board members who do not carry such a title.

I would have to hazard a guess that Conrad and the Chair did not want a Board member pointing out that the "Emperor was not wearing any clothes". That leads to the next question as to why the others went along unless the bleating sounds you hear are those remaining sheep
