It's the nature of the beast. Penny Stock companies are start-up companies with no basis for normal credit borrowing. Therefore, they must use convertible debt financing (more commonly known as death spiral financing for what it does to the share price and share holders). A good stratagem for picking those to play is to look at how much of this type of debt is on the books, when the note(s) come due and if the company borrowing is on the decrease (as profits increase).
In many instances, playing a penny stock is like trying to follow a unicorn to the pot of gold at the end of the rainbow. In other words, this portion of the market is no more certain than a trip to your local casino, and should be viewed as a form of entertainment. Kind of like a poker game, in which some skill is necessary.
