His company is getting paid $155K per quarter (INT'L Royalties)in some sort of financial piece (shares, cash, etc.) per the financials.

He is a director of TMM, not an advisory board member. He's not serving as a board member on the other company, he's serving as the CEO (I know, most CEOs are also on the BOD). In my business we had a commitment that the key employees would only serve our company. It's darn near impossible to serve two masters.
