Perlowin maintains control via preferred and common shares
Bruce Perlowin maintains his voting control of HEMP through his holdings of Preferred and Common shares.
As of the 1Q/17 filing, while we don't know the number of common shares he holds, we know that he has:
1) 32M shares of the Preferred stock, with 1 vote/share 2) 58M shares of Preferred K with 1 vote/share 3) 110M shares of Preferred K(P) with 10 votes/share
That gives him 1.19B votes BEFORE counting the common shares he holds, and nearly every quarter, he adds more Preferred K(P) shares to his holdings.
If and when the ever-rising OS threatens his control, he'll perform a reverse split, take the conversion ratio of the existing Pref K(P) holdings down to 1:1, but then issue new Pref K(P) that will continue the 10:1 conversion and voting rights, along with his absolute control of the company.
