The employee share agreement was bogus. imo

There never was any employee share purchase agreement. It was just a ploy to sell shares. It wasn't an 8K, it was a press release... you can say whatever you want.

That reverse merger press release (the one and only press release from the company) back on April 6th when the share price was sub penny.

OTC players read that employee .10 cent pump paragraph and thought WOW... I can buy shares sub penny and employees have to pay .10 cents?
