I agree with EVE4! This is important.

On this years Proxy form (http://thecse.com/sites/default/files/MMT_Proxy_FINAL.pdf) I have decided to vote differently due to the "Turmoil In Toronto" situation.

Although I do not own anywhere close to the number of shares (votes) as others on this forum or in general, I need to have my voice heard. I suggest that you consider to do something very similar.

My votes will be cast accordingly:

1. Election of Directors

b) Steve Van Fleet FOR
c) Alex Dey FOR
d) Oliver Nepomuceno FOR
e) David Sharpless FOR
g) Brian Von Herzen FOR

and

a) Joseph Fuda WITHHOLD
f) Larry Blue WITHHOLD


2. Appointment of Auditors

Appointment of Collins Barrow Toronto LLP as Auditors of the Corporation for the ensuing year and authorizing the Directors to fix their remuneration. WITHHOLD

My rationale is that with the recent turmoil and the financial predicament the company is now in, there are two groups with different approaches on how to resolve the critical problems the company must overcome:

I am sorry, but I no longer have confidence in Joe Fuda's approach and will not support him with a "FOR" vote. It is my understanding that Larry Blue agrees with Joe Fuda's approach and supports him -- so I cannot vote "FOR" him either.

I strongly support the approach to achieving recovery and success proposed by Steven Van Fleet and Brian Von Herzen. I understand Alex Dey is leaning that direction too, so he will get my vote.

I was told that Oliver Nepomuceno and David Sharpless do not exactly support Joe Fuda's approach, and are still considering the company's options. I will vote for them and hope that they recognize the company must take action in line with the Steven Van Fleet / Brian Von Herzen solution.


As for the selection for the auditor company, I have been told they are very expensive for what is required. To help solve the critical financial problems the company faces, the overhead in the Toronto operation must be reduced. Finding a less expensive firm to replace Collins Barrow Toronto LLP will be a start.
