because if a company gets delisted and moved to OTC (over the counter), it loses value and usually people starts selling off.

Take a look at INVT as a good example, who recently got delisted from nasdaq.

No RS means they can't offer many more shares because they are maxed out ok. So they have to find other means for funding and it's only natural they sign some deals. Otherwise, they offer the remaining shares there will be no dilutions anymore. KMan try to fool us with an RS vote and ridiculous terms didn't work. So now, the company need a partnership going soon or they won't have the funding to keep going.
