The stock issued by the company is just that. Issued by the company but not registered with the transfer agent, thus I doubt you can vote those shares.

In order to get a certificate registered with the transfer agent you must first pay for an Opinion Letter from a lawyer. The lawyer who can do this charges $500USD per certificate and he is based out of Texas I think. Once that is done then there is another process fee (I believe that is $150USD) and then you present it all to the transfer agent who might accept it. If they do they issue you a new certificate and that one is registered and you can trade it.

IMO not many certs have been registered with the transfer agent.
