So, are the 3 people who are being converted from shares to notes the ones who bought into the private placement deal or are they, or at least one of them "SS1" and company and/or pumpers for services rendered?

I don't remember this, but it looks to me like everything but the shell was sold last year,
two weeks after they took that private placement money from Beau and others:
