It was because of GOTSHALK "The audit partner, who was new to our account, determined that our report should go to a continuance committee mainly because of the issues of the former CEO" The company was trying to hide the fact that their CEO was caught in a FBI sting for stock manipulation. My bet is the auditor called them out on it. They naturally resigned and would not have anything to do with a company involved with a scam that had its last two auditors lose their credentials for related offences.
