Shockingly you've missed the point with:

We were discussing the requirements of an S-1 filing and the fact is that one of those requirements is to provide a detailed history to reconstruct the company's current operations, which (purportedly) include the ownership and sales of Besado.

Besado came from Top Shelf (DKTS) in a transaction controlled on both the buy and sell side by Alonzo Pierce. His press releases describing the transaction called for the issuance of some ISBG shares that were to end up in the hands of the DKTS shareholders (and some note nonsense) in return for 75% of the Besado brand (whatever that means). The agreement itself was never made public.
The DKTS shareholders never got their ISBG shares.

That, Mr. daddy, will need to be explained in the S-1. And since Alonzo Pierce can't possibly explain it there will be no S-1. Or if one is filed the SEC will explore it thoroughly and someone will end up in a crapload of trouble, something I expect that the Mad Tweeter would like to avoid.

If you really think that "DKTS IS IRRELEVANT TO CURRENT ISBG SHAREHOLDERS AND ALWAYS WILL BE" you're due for a surprise. The only good news is that there's not much room left for the share place to fall.

Actually that is exactly what an S-1 is supposed to do. When do you suppose we can expect them to file it?
