If Strong wants the ECIG shell he needs voting control, I think. With stock at zero he only needs to exercise a few warrants to get the shell since it would not be an asset of the company. It is still technically owned by the common shareholders. BK wipes out the company's assets but not the trading vehicle.
The pubco is legally controlled by the equity shareholders so if he wants to take control of it while it is in the valuable public form he has to be able to vote a majority of the common shares.
