#2973 RE: sped #2971

Jack’s stock options were not re-priced, but the “and co.” you spoke of could be relevant. I hope that you are high on the 8 million.

Bugs also made an excellent point about not sending out a pr while the trading ability of the U.S. shareholders has been compromised. After waiting so long for news that is almost laughable.

Thanks for throwing out some ideas for us to contemplate because management is not real clear.

Since Calentine signed the SEC forms on 7/31, if he did not mean to hold them, it could have been a staff error that delayed the U.S. filing. The information on the SEDAR filing and the subsequent SEC filing is the same therefore the reason or reasons for the time interval between the filings escapes me. IMO, Am

sped, I will send you a pm about a retail company we spoke of a few months ago.

7. AMENDMENT TO STOCK OPTION PRICES
Pursuant to a Board of Directors resolution effective the 13th day of December, 2001, the Board of Directors of the Corporation agreed, subject to regulatory approval and approval of the Shareholders of the Corporation, to re-price certain options granted to non-management members of the Board of Directors of the Corporation. Jack Wheeler is the only member of the Board of Directors whose stock options are not proposed for re-pricing. The details of the proposed re-pricing of the options held by non-management directors of the Corporation are as follows:

Board Report Regarding Re-Pricing Of Stock Options
The Board of Directors has considered and approved the re-pricing of stock options previously issued to non-employee directors of the Company. The existing stock options are exercisable at prices of $1.33 and $1.645 per share. They were granted to non-employee directors in lieu of compensation and because of the drop in the share price of the Company's common stock, they provide little or no incentive to the option holders. Accordingly, the Board of Directors has approved the re-pricing of all of these options to a price of $0.50 per share subject to approval by the Shareholders of the Company. – DEF 14A, 5/2/2002
