From what I can tell the public company keeps the "tech" asset and the MJ business to the degree there is any or will ever be. At the same time public company stock holders get some level of ownership in the new private company....so at least it is not a complete asset strip.
But as always the devil will be in the details...so we wait to see what the proxy says.
