Honest people don't take over fraudulent shells. Really, really stupid people do though sometimes. So either the folks now in this scam are either dishonest or extremely stupid. By the fact that is has been used purely to enrich insiders, dishonest is the actual answer. That is why the company is essentially bankrupt with a untenable share structure.
By August this will be Goh's 3rd year at Notis, I don't see much in the way of accomplishments, at least when he took over they were filing with the SEC. Now Notis is a 10Q and 10K behind.
