I'll take a stab at it. Very disappointed with the PPS, but probably has to do with the fact that there were no details in the PR, no SEC filing, and... this was in the PR "whereas legal counsel will be quickly concluding the closing of the transaction." So the deal wasn't actually signed when they put out the last PR.
