This, IMO, is just more screw-ball side dealing and crap that Bioheart/USRM has been doing for YEARS. NOT A WORD in ANY SEC FILING WITH "NSI CLINICS" or any similar wording in it???? ZERO.

NSI is a PRIVATE OWNED LLC, owned by some chiropractor(s) who ALREADY OPERATED chiro "clinics" at those locations. GOOGLE IS YOUR FRIEND will show it in about 3.2 seconds.

AND NO, it's not some bull crap "franchise" or whatever. A "franchise" means ALL THE FRANCHISE UNITS are "branded" THE SAME, they "look" THE SAME and they'd be titled U.S. Stem Clinic or whatever, ALL THE SAME.

McDonalds doesn't sell "franchises" and then let then be opened as BOB'S BURGERS BY McDonalds and painted in purple? NOPE. That ain't a "franchise".

Comella is always off doing side-deals and "other" stuff, pretty much seems like ANYTHING except actually running clinical trials or doing supposed "research and development" AT and FOR the public traded company USRM. With $990 bucks spent in ALL OF 2016 (LOL !! LOVE THAT ONE), how much R&D does on think USRM actually did? Like what, bought a couple of cartons of sterile gloves and some face masks and maybe a set of microscope glass slides?

There's NO, ZERO proof that any "FIRST 6 CLINICS ARE IN PLACE" that belong to, or are run by USRM? Hell, USRM DOES NOT even own the current "U.S. Stem Cell Clinic, LLC", they only list it as a "33% owned investment", making THEM the minority position in that lil sub biz, filed by who??? KRISTEN COMELLA, that's who. SHAZAM, what a freaking surprise?

The JUST FILED SEC 10-K DISCUSSED ZERO info about USRM deriving any revenue, let alone income, from some "SIX CLINICS" blah, blah, blah, let alone some bull crap supposed "FRANCHISE" business model, a very specific legal construct that would need to be explained in great detail in their SEC FILINGS. HAS NOT HAPPENED.

Here's who "OWNS" NSI (look him up and their addresses, ALL were chiropractic clinics, already in biz for years):

USRM doesn't "own" that??? It's a PRIVATE HELD LLC, and the guys "in charge" are known chiropractors in the FL area, who already had businesses operating at those locations. Looks to me like they just slapped up web sites and did a "switch-a-roo" to add "stem cells" now to their back-cracking biz, that's all I see going on here, oh, and of course Comella now "working" as THEIR ole "CHIEF SCIENCE OFFICER TOO", whatever the hell that "arrangement" is??? Would like to see a full disclosure on that one, LOL???

How bout U.S. Stem Cell Clinic, LLC? USRM the public company doesn't even "own" that damn micro LLC either. The public traded company USRM, doesn't "own" much of anything, LOL !! TOTAL ASSETS END OF 2016, were approx $400K, of which $270K was their pittance CASH-ON-HAND they had left to their name, of which they had CURRENT LIABILITIES of $5 MILLION plus, bills due within 1 yr, and "accounts payable" of approx $1.2 MILLION, which is bills due typically due in 30 to 45 days max. Meaning their actual "HARD ASSETS" are less than $200K (LOL). They are pretty much an empty shell of a "business" if you ask me. A public traded company with $200K in TOTAL ASSETS? WTH??? They got nothing essentially, literally, and that's the facts per their own SEC 10-K. They just sold-off their damn "stem cell banking biz" for a lousy $500K, further hollowing out the shell, for what appears to be some pittance of survival cash? WHAT'S LEFT OF THE ACTUAL PUBLIC TRADED ENTITY known as USRM? WHAT EXACTLY????

Just filed SEC 10-K, PAGE F-13:

"NOTE 3 — INVESTMENTS

The investment recorded is comprised of a 33% ownership of U.S. Stem Cell Clinic, LLC, accounted for using the equity method of accounting. The investments in 2014 and 2015 of cash and expenses paid on U.S. Stem Cell Clinic, LLC’s behalf were in aggregate of $59,714. The Company’s 33% income earned by U.S. Stem Cell Clinic, LLC was $153,405 and $38,542 for the year ended December 31, 2016 and 2015, respectively, (inception to date income of $182,830) was recorded as other income/expense in the Company’s Statement of Operations in the appropriate periods. In addition, during the year ended December 31, 2016, the Company received distributions totaling $175,000 from U.S. Stem Cell Clinic, LLC. The carrying value of the investment at December 31, 2016 and 2015 was $67,544 and $89,139, respectively."


So USRM the public traded company doesn't even hold a majority ownership position in U.S. Stem Cell Clinic, LLC and it's not clear if Comella receives the other "revenues" and "income" from the "clinic" as SHE FILED THE LLC w/ the state of Florida. ALWAYS SCREW-BALL SELF DEALING if you ask me, always. Years of it.

Hell, they're still paying large sums of money to Comella's various family members for "kit making" and now as supposed "consultants", LOL !! "consulting" on what ?? Who the hell in Comella's family is a bio-tech expert "consultant" worth $250 per hour??? Smells like OTC-ville if you ask me. CLASSIC OTC-ville IMO.
