No. Notis borrowed money, that converts to NGBL shares, and used that money to buy a company owned by Pyatt and Goh. A company hat does the exact same thing that Notis claims to do, consulting etc. EWSD, the subsidiary that owns the Pueblo property has pledged its assets to the lender in the event of default. The shares convert into 10 billion NGBL shares.

So instead of Notis getting a loan to buy seeds, fertilizer, water and employees for Pueblo, and actually growing some CBD's, they decided to buy a company owned by their directors.
