He is a beneficial owner due to his % of common shares and has more hoops as rule 144 kicks in hard for majority investors in this "dark reporting" company. Is he the owner??? Terms of bridge note sealed that as true without even his common shares. His entity is technically an individual investor even though I would like to agree with you and I would classify him/Roche Enterprises as "institutional investor" with full control.
