I believe what you are referring to is a reverse split. Even that is not always a bad thing. A reverse merger is a good thing.

Reverse mergers are quicker and much less expensive than a traditional IPO. You can easily google this info. There's a lot more to it but I am just giving the 2 obvious benefits.

What you are probably referring to are reverse splits and they are bad because they dilute the shareholders holdings.
