WHEN and WHERE did the company ever disclose they had a ".05 buyout" as a material event??? SEC filing or link or "PR" ???

AND, the CSO owns NO STOCK in this company and the CEO owns about a whopping 9,700 shares or something like that, approx a lousy $300 bucks worth at this AM's price.

What SEC filing shows CSO Comella owning (direct ownership) any USRM shares? When? Where?
