Concurrently with the entry into the Agreement, Conatus and Novartis entered into an Investment Agreement (the “Investment Agreement”) whereby Conatus agreed to sell and Novartis agreed to purchase, convertible promissory notes (the “Notes”) in one or two closings (each a “Closing”), for an aggregate principal amount of up to $15 million.
