Maybe those CPA textbooks should include a few footnotes in extremely fine print citing eye-opening examples and case studies of exceptions to "corporate governance and fiduciary responsibility".

Like I mentioned before, a shareholder activist on the BOD might help keep things in check. At least, that's what I'd hope it would do.

Your point about Dan keep being able to get away what he has because of our acceptance and his claims that it is for the future is on the mark, but I think at this point (three and a half years in his tenure with no shareholder value created) our large investors such as Adage and Broadfin could begin to become impatient and take an activist position and make change. We retail holders can't do anything, but as long as holders like Adage and Broadfin are in the game, I feel ok. I think Dan's tenure is on a clock now, and the more he tries to funnel himself more compensation when sharehodlers have seen their investment value erode, he will ultimately be held accountable.
