The UMS audits were never capable of being submitted to the SEC and that is why we have never seen them and the shares were not transferred

Not true. The UMS financials WERE submitted to the SEC in the required 8-K filing. And note the statement in the 8-K:

"On February 2, 2016, iTalk Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) to report, among other things, that the Company had acquired United Mobile Solutions Corp. (“UMS”), which became a wholly owned subsidiary of the Company."

No way around that. If TALK is now claiming they didn't acquire UMS, as they stated in numerous SEC filings, it is fraudulent.
