TALK said in multiple SEC filings, and in multiple public statements, that the UMS deal was complete AND UMS was a wholly-owned subsidiary of the Company.

Either they committed a crime by signing the certifications that their SEC filings were complete, or they are lying now. Either way, there is a name for what they have done.
