It allows the company to issue more shares into the market (which they likely have already done) to satisfy the debt conversions.. The higher the OS the LESS each share represents of company ownership. It's the reason it is called "dilution"...it is diluting an existing shareholders stake.
Supply and demand...they are increasing the supply. That puts a downward pressure on price for a constant demand.
