Actually we know exactly what happened.

They lied. Over and over.

Read the SEC filings. They not only state, without any doubt, that UMS WAS acquired and IS a wholly-owned subsidiary of TALK, but the CEO and CFO both signed certifications that the information was correct.

If it wasn't, and they knew (or had reason to know) it wasn't, it is crime to sign the certifications stating otherwise.
