They did more than claim it. The CEO and CFO signed certifications and filed them with the SEC which stated the acquisition was done and UMS was a 100% wholly owned subsidiary of the Company.

If they are now claiming that was not true, it makes the certifications fraudulent. And guess what - under Sarb-Ox, that is a CRIME.

This is a very serious issue.
